Corporate Law
Corporate law deals with private associations of persons, which are established by legal transaction in order to achieve a specific purpose.
With regard to the various legal forms of companies, a distinction is made primarily between the partnerships (GbR, OHG, EWIV, KG and partnership companies) and the corporations (GmbH, eG, SE, SCE, British Limited and AG). The registered associations and foundations take a special position. In addition, there are hybrid forms that consist of several companies (corporations and partnerships). A corporation / foundation acts as the general partner of a partnership / KGaA. The content of corporate law is also group law, which deals with affiliated companies, as well as the transformational transformation right.

Commercial Law

This includes the law of the commercial status (in particular law of commercial agents, brokers and authorized dealers), the law of commercial transactions (current account agreements, commercial purchase, commission, freight and forwarding transactions) and international sales law.
In simple terms, commercial law fully covers the B2B sector in legal terms and provides for numerous special regulations in comparison to general civil law.
As we subsume the freight and freight forwarding business under transport and forwarding law in our internal operational practice, the focus of our commercial law department is on commercial agent law, in particular on the law of insurance intermediaries and brokers, as well as on commission agreements and international sales law.
